Website Terms of Use

DRAFT for review. This page is authored ahead of counsel review and still contains placeholders — shown in brackets — that Uniqcli will finalize before it is published. It describes current practice in plain English and is not final legal text.

These terms cover your use of getuniqcli.com and the Uniqcli-operated brand storefront subdomains as a website — browsing, searching the catalog, creating a portal account, and using our public API. They are not the terms that govern a purchase. When you buy something, the Terms of Use & Sale, your quote, and any signed order documents govern that transaction. Uniqcli's website and services are directed to customers in the United States.

Using the site

You may use the site to research products, request quotes, manage a portal account, and place orders. You agree not to:

use the site for anything unlawful;

interfere with the site's operation, probe non-public systems, or attempt to access another customer's account or data;

misrepresent who you are or who you act for when creating an account or submitting a form;

republish the catalog wholesale as a competing product database. Reasonable automated access is welcome — through the public endpoints described below, at the published rate limits — but bypassing rate limits or scraping surfaces we haven't opened is not.

Portal accounts

Portal sign-in uses Microsoft Entra External ID. What an account can see and do is decided by Uniqcli's own records — account approval, role, and status — not by the identity provider. Keep your account information accurate, and don't share credentials; activity under your sign-in is your responsibility. Uniqcli may suspend or close an account that violates these terms or that we reasonably believe is being misused.

Our content and trademarks

The site's original content — page text, design, and the Uniqcli name and mark — belongs to Uniqcli or its licensors. Manufacturer and product names, marks, and logos shown in the catalog are the property of their respective owners. Uniqcli is an independent reseller; displaying a manufacturer's mark identifies the product and the ecosystems we support, and does not imply the manufacturer's endorsement, sponsorship, or affiliation.

Catalog accuracy — pricing and stock

Catalog pricing and stock come from live distribution data and change frequently. A displayed price or stock status is informational until it is confirmed on your order:

Orders placed from the catalog or cart are re-verified against the current authoritative price before any payment is taken. Orders created by accepting a quote are different: they are charged at the prices stated on the quote, not re-priced against the catalog.

If a catalog price has moved, an item can't be verified, or the pricing service is unavailable, the order is routed to a sales representative for confirmation instead of being charged.

Where a manufacturer's list price (MSRP) is shown for reference, it is not the Uniqcli sell price.

We work to keep product descriptions, specifications, and images accurate, but much of that content originates with manufacturers and distributors and may contain errors. If something looks wrong, tell us and we'll confirm it before you order.

Public API and MCP server

Uniqcli publishes a read-only, unauthenticated catalog surface for people and AI agents: REST endpoints under /api/public/products, an MCP server at /api/mcp, and a machine description at /openapi.json. Its terms of use:

What it returns: buyer-safe catalog fields only — sell price, stock status, specs, images. Distributor part numbers, cost, and margin are never exposed.

What it doesn't do: ordering, quoting, account access, or any transaction. Those require a human signed in to the portal. There is no self-serve API-key registration and no client-credentials flow; a key is issued by hand and only raises rate limits on the read surface — it is never an identity and never unlocks ordering, quotes, or account data. See /auth.md.

Rate limits: requests are rate-limited per IP (currently on the order of 60–120 requests per minute depending on the endpoint; limits may change without notice). A caller that exceeds them receives HTTP 429 and must back off.

Permitted use: product research and procurement support. The anti-wholesale-copying rule above applies to API responses too.

Linked sites

The site links to third-party sites — manufacturer pages, support portals, and similar. Those sites have their own terms and privacy practices; Uniqcli doesn't control them and linking to them isn't an endorsement.

Disclaimers

The site is provided as-is. We work to keep it available and its content accurate, but we don't guarantee uninterrupted availability or that every page is error-free. To the extent permitted by law, Uniqcli is not liable for damages arising from use of the site itself; liability connected to a purchase is addressed in the Terms of Use & Sale.

Governing law

These terms are governed by the laws of [GOVERNING-LAW STATE — dee decision], without regard to its conflict-of-laws rules.

Changes

We may update these terms from time to time. The "Last updated" date above reflects the current version; material changes take effect when posted.
