1. Quotes and orders
Quotes are valid for 30 days unless stated otherwise and are subject to product availability at the time of order. Uniqcli confirms stock, country of origin and the final total before an order is binding; no payment is required up front on quoted orders.
Uniqcli may decline or cancel an order for reasons including pricing or stock error, suspected fraud, export-control or eligibility restrictions, or a manufacturer's terms.
2. Pricing and payment
Prices are quoted in US dollars and exclude applicable taxes and shipping unless stated. Accepted methods include Government Purchase Card (GPC) / P-Card up to threshold, open-market purchase orders (including orders placed under your existing contract vehicles), and other paths as agreed. Online checkout accepts major cards, PayPal and Venmo, and — where offered — ACH bank debit.
Card surcharge. Where permitted by law and card-network rules, Uniqcli may apply a surcharge to CREDIT card payments only, to offset card-processing costs. Any surcharge is disclosed on the checkout page and shown as a separate line item before you pay and on your receipt; it will not exceed applicable legal or card-network caps (currently 3% in the United States) or Uniqcli's cost of acceptance; and it is never applied to debit or prepaid cards, ACH bank payments, or other non-credit-card methods. You may choose a different payment method after the surcharge is disclosed. ACH bank payments carry no card-processing surcharge.
Where a manufacturer's list price (MSRP) is shown for reference, it is not the Uniqcli sell price.
3. Manufacturer terms and trademarks
Products carry the applicable manufacturer's warranty and license terms, which flow through to the buyer. All manufacturer names and marks are the property of their respective owners; Uniqcli is an independent reseller and integrator and its use of those marks indicates supported ecosystems and authorized channels, not endorsement.
4. Export control
Orders are subject to US export-control laws, including the EAR and OFAC sanctions and denied-party restrictions. The buyer agrees not to export, re-export or divert products contrary to those laws.
5. Government procurement
For government orders, applicable clauses (including TAA under FAR 52.225-5, NDAA §889, and GSA / SEWP / cooperative terms) flow down only per a signed order. Uniqcli confirms compliance posture per requirement and documents it with the order.
6. Limitation of liability
To the extent permitted by law, Uniqcli's aggregate liability arising from an order is limited to the amount paid for the product or service giving rise to the claim. Uniqcli is not liable for indirect or consequential damages.
